2D Workflow Terms of Service

Service and Website."2D Workflow, referred to as the "Service," "we," or "us," offers educational services for merchants selling on Amazon and is owned and operated by 2D Workflow, LLC, a Florida corporation. 2D Workflow’s services offer a cloud-based solution for online retailers to manage their shipping and prep. Under the terms of this Agreement, 2D Workflow provides a 14-day free trial, followed by a choice of monthly or annual subscription options.​

Customer.As a customer of the Service, or as a representative of a customer entity, you are considered a "Member" under this agreement, referred to as "you." You confirm that you possess the full power, capacity, and authority to accept these Terms, either on your own behalf or as an authorized representative of your employer.​

Subscription. Subject to the payment of Subscription Fees and the terms of this Agreement, 2D Workflow grants you a non-exclusive and non-transferable subscription to the 2D Workflow Services for the Trial Period and Subscription Term. Your free trial begins on the Effective Date and lasts for 14 days. After the Trial Period, your access will end unless you enroll in either a monthly or annual subscription. The trial period and subscription term are referred to as the Term. Annual subscriptions come with a discount compared to monthly subscriptions of the same duration. Both monthly and annual subscriptions can be terminated according to Section 5. If an annual subscription is terminated early, pro-rated refunds will be given without the discount.

​Covenants, Representations, and Warranties.By using the 2D Workflow’s services, you agree to limit access to only your employees and contractors under your direct control, and not share, sublease, or transfer access to third parties. You also represent and warrant that you will not use the 2D Workflow’s services in violation of any laws, infringe third-party rights, or make false representations. During the Term, you agree to: (a) cooperate with 2D Workflow and provide access to information as needed; (b) comply with all relevant laws and regulations regarding your use of the 2D Workflow’s services; (c) fulfill your responsibilities outlined in this Agreement efficiently; and (d) obtain and keep up-to-date all necessary licenses, consents, and permissions for 2D Workflow to fulfill its obligations.

Subscription Fees.In return for access to the 2D Workflow Services during the Subscription Term, you agree to pay the following:​

Billing, Cancelation and Termination.2D Workflow may offer the Service through a variety of billing methods, which include, but are not limited to, one-time subscriptions, monthly recurring subscriptions, and annual recurring subscriptions (“Subscription”). Jungle Scout will bill you on the date you subscribe to the Service (“Subscription Date”) and will continue to bill you in accordance with your selected Subscription until you cancel the Service. You must cancel your Subscription at least one day prior to the next billing date to avoid a Subscription renewal. Fees will be billed to your Payment Method on the calendar day corresponding to the Subscription Date. Subscription fees are fully earned upon payment. In some cases, your payment date may change, for example if your Payment Method has not successfully settled or if your Effective Date began on a day not contained in a given month.​

Change to the Price and Subscription. We reserve the right to modify our subscription plans or adjust pricing for our Service at any time, solely at our discretion. Any price changes or changes to your subscription plan will take effect after we notify you, unless otherwise stated in these Terms.​

Intellectual Property.You agree that 2D Workflow holds all the intellectual property rights for the 2D Workflow’s services. This Agreement does not provide you with any patents, copyrights, database rights, trade secrets, trade names, trademarks (registered or unregistered), or any other rights or licenses related to the 2D Workflow’s services. You also agree that you will not: (a) Copy, modify, duplicate, create derivative works, frame, mirror, republish, download, display, transmit, or distribute any part of the 2D Workflow’s services in any form or media. (b) Reverse compile, disassemble, emulate, reverse engineer or otherwise convert any part of the 2D Workflow’s services into a human-perceivable form. (c) Access any part of the 2D Workflow’s services to build a competing product or service.​

Disclaimer of All Warranties.YOU ACKNOWLEDGE THAT YOUR USE OF THE 2D WORKFLOW’S SERVICES IS AT YOUR OWN RISK. THE 2D WORKFLOW’S SERVICES AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." 2D WORKFLOW’S DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. 2D WORKFLOW DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION IN THE 2D WORKFLOW’S SERVICES. 2D WORKFLOW WILL NOT BE LIABLE OR RESPONSIBLE FOR (I) ERRORS, MISTAKES, INTERRUPTIONS, OR INACCURACIES OF ANY INFORMATION IN THE INVENTORYLAB SERVICES, (II) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO, USE OF, OR RELIANCE ON ANY INFORMATION IN THE INVENTORYLAB SERVICES, (III) ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR ITEMS TRANSMITTED TO OR THROUGH THE 2D WORKFLOW’S SERVICES BY ANY THIRD PARTY, OR (IV) ANY INTERRUPTIONS TO THE INVENTORYLAB SERVICES OR THE NETWORK OR ANY TELECOMMUNICATIONS NETWORK. INVENTORYLAB DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY INFORMATION IN THE 2D WORKFLOW’S SERVICES.

​Limitation of Liability.2D WORKFLOW, ITS EMPLOYEES, OFFICERS, DIRECTORS, AFFILIATES, OR AGENTS WILL NOT BE HELD LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER DAMAGES ARISING FROM THE USE OF THE WEBSITE OR SERVICE, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE OR INCOME, LOST PROFITS, PAIN AND SUFFERING, EMOTIONAL DISTRESS, COST OF SUBSTITUTE GOODS OR SERVICE. THIS DISCLAIMER APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW. THE MAXIMUM LIABILITY JUNGLE SCOUT WILL BE HELD TO IS THE AMOUNT PAID TO US IN THE MONTH PRIOR TO THE CLAIM.

​Indemnification for Breach of Terms Use.You agree to protect 2D Workflow and its officers, directors, shareholders, predecessors, successors, employees, agents, subsidiaries, and affiliates from any demands, losses, liabilities, claims, or expenses (including attorney fees) that may be imposed on them by a third party as a result of, or in connection with, your use of the Service or Website.​

Security, Storage & Retention.We take the protection and privacy of your data very seriously and make every effort to secure it. We implement reasonable technical and organizational measures to maintain the confidentiality, security, and integrity of your personal information. However, despite our best efforts, transmitting information over the internet carries inherent risks and we cannot offer a 100% guarantee of the security of your data.

​International Users.2D Workflow’s services are managed and operated by us within the United States and no representation is made that they are accessible or can be used from outside the US. Accessing or using the Services from outside the US remains governed by this Agreement and you agree not to access or use information or materials on the Services in violation of US export laws, or any laws or regulations of the country from which you are accessing the Services​

Assignment.2D Workflow reserves the right to reassign, transfer, charge, subcontract, or handle in any manner its rights and obligations under this agreement at any time. Without 2D Workflow’s prior written consent, you may not reassign, transfer, charge, delegate, subcontract, or handle in any manner your rights and obligations under this agreement.​

Miscellaneous.The entire agreement between You and 2D Workflow regarding Your use of the Services is contained in this Agreement and replaces all previous agreements on the subject. This Agreement shall be governed and interpreted according to the laws of Kansas, disregarding its principles of conflict of laws. You agree to voluntarily submit to the jurisdiction of the Florida courts for any legal proceedings related to this Agreement, waiving any objections to jurisdiction, forum, and venue. Any claims by You must be brought within one year of when the claim arises. If a court declares any provision of this Agreement illegal, unenforceable, or void, the rest of the Agreement will remain in full effect. 2D Workflow is entitled to specific performance and other equitable remedies for any breach of this Agreement, in addition to other remedies available at law or in equity, without the need for posting bonds. Any amendment or waiver of a term in this Agreement will not be binding on 2D Workflow unless it is made in writing, explicitly stating that it is a waiver or amendment, and signed by an authorized agent of 2D Workflow.

​Entire Agreement.These terms, together with our Privacy Policy and any additional terms you have agreed to, constitute(s) the entire agreement with respect to its subject matter and constitutes and supersedes all prior agreements, representations, and understandings of the parties, written or oral.
